License Fee

Licensee shall make payment of the License Fee to Licensor on the date of this Agreement. All rights granted are conditional upon full payment.

Delivery of the Beat

Licensor agrees to deliver the Beat as a high-quality MP3, WAV, or TRACKOUT file via email to the address provided by Licensee.

Term

The license term is ten (10) years from the Effective Date.

Use of the Beat

Producer grants Licensee a limited, non-exclusive, non-transferable, worldwide license to use the Beat in the creation of one (1) new song (the “New Song”). Licensee may modify arrangement, length, tempo, or pitch.

Licensee may:

  • Stream unlimited (monetized & non-monetized).
  • Distribute to all DSPs (Spotify, Apple Music, etc.).
  • Perform publicly without limit.
  • Sync in one (1) music video.
  • Sell unlimited digital & physical copies.

Restrictions on Use

Licensee agrees that:

  • Rights are non-transferable.
  • The Beat cannot be sold or sublicensed in its original form.
  • The Beat or New Song may not be registered with YouTube Content ID, Facebook Rights Manager, TikTok, or Instagram Content ID.
  • No AI training, voice cloning, or generative music use.
  • One music-video sync only.

AI & Machine Learning Prohibition

Neither party may use the Beat or New Song for AI-training, voice-cloning, or generative music without written consent. Violation terminates the license immediately without refund.

Content ID Clarification

Both parties may distribute to all streaming platforms, but neither may claim Content ID ownership that blocks the other.

Ownership & Royalty Splits (50/50 Agreement)

Producer and Licensee share ownership of the composition (songwriting + publishing) and master recording equally.

Each party shall register their respective 50 % writer and publisher shares with their own PRO or administrator.

Both parties agree to send split details to [email protected] for proper registration.

Credits

Licensee must credit: “Produced by EPIK THE DAWN.”
All metadata, artwork, and video descriptions must include this credit.

Termination & Breach

Material breach voids this Agreement. Unauthorized AI use or Content ID registration causes immediate termination. Damages equal to all revenues earned from infringement.

Warranties & Indemnification

The Beat is provided “as is.” Each party indemnifies the other against third-party claims arising from their own actions.

Jurisdiction

Governed by Nevada law. Venue: Las Vegas, NV, USA.

Agreement Acceptance

By making payment and electronically signing this Agreement, both parties agree to all terms and conditions herein.
